Please read these Terms of Service carefully before using RxPulse. By accessing or using the RxPulse platform at go.rxpulse.app, you agree to be bound by these terms.

1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and RxPulse Technologies LLC ("RxPulse," "we," "us," or "our") governing your access to and use of the RxPulse pharmacy staff operations platform, including all related websites, mobile applications, and services (collectively, the "Platform").

If you are using RxPulse on behalf of a pharmacy or organization, you represent that you have the authority to bind that organization to these Terms.

RxPulse is a software-as-a-service (SaaS) platform that provides independent pharmacies with tools for staff operations management, including:

3. Accounts and Access

Pharmacy administrators are responsible for creating and managing staff accounts on the Platform. By adding a staff member to RxPulse, the administrator confirms they have obtained appropriate consent from that staff member to use the Platform and receive associated communications.

Staff members access the Platform via SMS-based two-factor authentication. Your phone number serves as your login credential. You are responsible for keeping your device secure.

Important: RxPulse is not a HIPAA Business Associate by design. Do not enter patient names, prescription numbers, dates of birth, or any other Protected Health Information into the platform. PulseAI and all other features are scoped to operational and informational use only.

5. Subscription and Payment

RxPulse is a paid subscription service. Subscription terms, pricing, and billing details are provided separately at the time of pharmacy onboarding. By subscribing, you authorize RxPulse Technologies LLC to charge the applicable fees to your designated payment method.

All fees are non-refundable except as required by law or as otherwise specified in your subscription agreement. RxPulse reserves the right to modify pricing with 30 days' written notice.

6. SMS Communications

By using RxPulse, pharmacy staff consent to receive SMS messages for platform authentication and operational notifications. These messages include login verification codes, task assignments, reminders, and alerts.

Standard message and data rates may apply. Message frequency varies. Reply HELP for help or STOP to opt out of non-authentication messages. For support, contact support@rxpulse.app.

7. Intellectual Property

The RxPulse platform, including its software, design, features, and content, is owned by RxPulse Technologies LLC and protected by intellectual property laws. "RxPulse" and the RxPulse logo are trademarks of RxPulse Technologies LLC.

You are granted a limited, non-exclusive, non-transferable license to use the Platform for your pharmacy's internal operations during your active subscription period. This license does not include the right to sublicense, resell, or otherwise distribute access to the Platform.

Data you enter into RxPulse (staff profiles, tasks, events, etc.) remains your property. RxPulse will not use your pharmacy's operational data for any purpose other than providing and improving the Platform.

8. Data and Privacy

Your use of RxPulse is subject to our Privacy Policy, which is incorporated into these Terms by reference. By using the Platform, you consent to the data practices described in the Privacy Policy.

9. Availability and Uptime

We strive to maintain high availability of the Platform but do not guarantee uninterrupted service. The Platform may be temporarily unavailable due to scheduled maintenance, unplanned outages, or factors outside our control. RxPulse is not liable for any losses resulting from Platform unavailability.

10. Disclaimer of Warranties

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

RxPulse does not warrant that the Platform will be error-free, that defects will be corrected, or that the Platform is free of viruses or other harmful components. PulseAI responses are for informational purposes only and do not constitute clinical, legal, or regulatory advice.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, RXPULSE TECHNOLOGIES LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATED TO YOUR USE OF THE PLATFORM.

In no event shall RxPulse's total liability to you exceed the amount paid by your pharmacy for the Platform in the 12 months preceding the claim.

12. Indemnification

You agree to indemnify and hold harmless RxPulse Technologies LLC, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses arising out of or related to your use of the Platform, your violation of these Terms, or your violation of any applicable laws or regulations.

13. Termination

Either party may terminate the subscription with notice as specified in the subscription agreement. RxPulse reserves the right to suspend or terminate access immediately for violations of these Terms or for non-payment.

Upon termination, your right to access the Platform ceases. You may request an export of your pharmacy's data within 30 days of termination by contacting support@rxpulse.app.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Georgia, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts located in Georgia.

15. Changes to Terms

We may modify these Terms from time to time. When we do, we will update the "Last Updated" date at the top of this page and, for material changes, notify pharmacy administrators via email. Continued use of the Platform after changes constitutes acceptance of the updated Terms.
